1. About MemoraFlow

MemoraFlow is a membership management platform that helps businesses — gyms, studios, clubs, and any organization managing recurring memberships — track members, manage plans, record payments, and send automated reminders. We are not a payment processor; we record and track payments made through your own methods.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business to use MemoraFlow. By using the platform, you confirm that the information you provide is accurate and that you are authorized to manage the organization you register.

3. Your Account

• You are responsible for keeping your login credentials secure
• You must not share your account with others or allow unauthorized access
• Notify us immediately at hello@memoraflow.com if you suspect unauthorized use
• You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree to use MemoraFlow only for lawful purposes. You must not:

• Enter false, misleading, or fraudulent member information
• Use MemoraFlow to harass, spam, or send unsolicited messages to members
• Attempt to reverse-engineer, hack, or disrupt the platform
• Violate any applicable law or regulation
• Use the platform for any purpose other than legitimate membership management

5. Subscription & Billing

MemoraFlow offers subscription plans as described on our Plans page. By subscribing:

• You authorize us to charge the applicable fees for your selected plan
• Subscriptions renew automatically unless cancelled before the renewal date
• Fees are non-refundable except where required by applicable law
• We reserve the right to change pricing with 30 days' advance notice
• Failure to pay may result in suspension or termination of your account

6. Free Trial

If we offer a free trial, it is available once per business. At the end of the trial, your account will be downgraded or require a subscription to continue using paid features. We reserve the right to modify or end free trials at any time.

7. Your Data

You own all the data you enter into MemoraFlow, including member information and payment records. We do not claim ownership of your data. You grant us a limited license to store and process your data solely to provide the service. Please see our Privacy Policy for full details on how we handle your data.

8. Reminders & Notifications

MemoraFlow sends automated reminders (e.g., membership expiry alerts) on your behalf. You are responsible for ensuring your members have consented to receive such communications. We are not liable for any issues arising from reminder delivery failures due to incorrect contact information, carrier restrictions, or technical issues beyond our control.

9. Intellectual Property

All content, design, code, and branding of MemoraFlow is our intellectual property. You may not copy, reproduce, or distribute any part of MemoraFlow without our written permission. Your data remains yours; our platform remains ours.

10. Availability & Uptime

We aim to keep MemoraFlow available at all times but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience technical issues that temporarily affect availability. We will communicate planned downtime in advance where possible.

11. Limitation of Liability

MemoraFlow is provided "as is." To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including lost revenue, data loss, or business interruption. Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

You may cancel your account at any time from the Settings page or by contacting us. We may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your data will be retained for 30 days during which you may request an export, after which it will be deleted.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days in advance. Continued use of MemoraFlow after the effective date of changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising from your use of MemoraFlow shall be subject to the exclusive jurisdiction of the courts in India.
